Change and Significant Development
Siginificant Event
The Company was established on May 12, 2003 with an initial registered capital of 5 million baht, divided into 50,000 common shares with a par value of 100 baht per share to operate the business of producing and distributing labels or stickers according to the format specified by the customers.

In October, the registered capital had been increased by another 1 million baht from the initial registered capital of 5 million baht, totaling 6 million baht to support business expansion.

The Company launched a new product which is silk screen printing for displaying messages symbols and buttons on electrical control panels by investing in the purchase of 1 semi-automatic silkscreen machine for use in the silkscreen printing process on plastic sheets.

Invested in purchasing an automatic screenprinting machine (Sakurai) in Japan for sheet form work with an automatic workpiece feeding system at a speed of 1,700 sheets/hour.

In September, the registered capital had been increased by another 4 million baht from the initial registered capital of 6 million baht, totaling 10 million baht to support business expansion. And started introducing sticker printers (Intermittent Letterpress) that has the ability to print 5 colors, making it possible to produce workpieces in a variety of colors and can also produce work quickly to support a large amount of work.

Started using an automatic silk screen printer for roll-to-roll work (Sundaily) from China. The special ability of this machine is to provide high printing accuracy, greatly reduces the problem of scratches.

The Company increased its registered capital by another 90 million baht from the initial registered capital of 10 million baht, for a total registered capital of 100 million baht to support business expansion.
Simat Technologies Public Company Limited (“Simat PLC” or “Simat”) purchased common shares from a group of existing shareholders and increased-capital common shares, making Simat the major shareholder of the Company obtained a shareholding proportion of 70 percent of the paid-up registered capital.
The Company purchased shares in Hinsitsu Screen Precision (Thailand) Co., Ltd. (“HSPT”) from the existing shareholder group, resulting in the Company obtaining 100 percent shareholding in HSPT and a registered capital of 6 million baht.

The Company had adjusted the shareholding structure of the group of companies to reduce the impact of conflicts of interest that may occur by purchasing shares of Simat Label Company Limited (“SL”), which is in the business of producing and distributing labels or stickers similar to the Company's business, from Simat, resulted to the Company obtain a shareholding proportion in SL of 100 percent, with SL obtaining a registered capital equal to 34 million baht.
Hinsitsu Screen Precision (Thailand) Co., Ltd. changed its name to Hinsitsu Precision (Thailand) Co., Ltd. (“HPT”) and HPT increased its registered capital to 40 million baht with the other co-investor, who is not connected persons holding 24.99 percent of shares in HPT and the Company holds 75.01 percent of shares in HPT, which has the objective of expanding new products, including In Mold Decoration, which is injection or casting of coated plastic on silk screen pieces for durability, beauty and adding value to the product.
The Company received Green Industry Certificate Level 3, Green System, from the Ministry of Industry.
Siginificant Event
A Subsidiary company (SL) invested in purchasing land in Bangsaothong District, Samutprakan Province, size 7-3-64 rai, from an unrelated person in preparation for building a new factory of the group of companies. There will be both factory space for production and a headquarters area.

February 25, 2021, the Company registered its transformation into a public company and changed its name to Hinsitsu (Thailand) Public Company Limited.
One to One Contacts Public Company Limited (“OTO”) invested in the Company's shares by 10% shareholding from Simat, resulting in Simat remaining with a 60% shareholding in the Company.

The Company changed the par value of its shares from 100 baht per share to a par value of 0.50 baht per share.
The Company's Extraordinary General Meeting of Shareholders No. 2/2022 on May 27, 2022 resolved to approve the construction of a new factory building and office building in an amount not exceeding 280 million baht.

The Company and HPT moved the factory and office from Bangphli District to Bangsaothong District, Samutprakan Province and began production at the new factory in the 2nd quarter.
Simat's Board of Directors' Meeting No. 2/2023 on February 28, 2023 resolved to approve the sale of 19,000,000 shares of the Company with a par value of 0.50 baht per share, or equivalent to 7.54 percent of the total paid-up capital of the Company after IPO offered for sale to the public. The offering will take place at the same time as the Company's IPO.
The 2023 Annual General Meeting of Shareholders on April 24, 2023 approved important resolutions as follows:
- Increased the registered capital of the Company by 26,000,000 baht by issuing 52,000,000 additional common shares at a value of 0.50 baht per share, which will increase the registered capital of the Company from registered capital of 100,000,000 baht to 126,000,000 baht, divided into 252,000,000 shares, with a par value of 0.50 baht per share. The shareholder meeting approved the allocation of additional common shares of the Company, not exceeding 52,000,000 shares, with a par value of shares. 0.50 baht per share as follows:
- Number of increased-capital common shares, 44,000,000 shares, with a par value of 0.50 baht per share, to be offered for sale to the public for the first time (Initial Public Offering: IPO).
- Allocated additional common shares, not exceeding 8,000,000 shares, with a par value of 0.50 baht per share, to be offered for sale to directors, executives, and/or employees of the Company and subsidiaries at a price not less than 90 percent of the price offered for sale to the public for the first time (IPO Price). However, if there are increased-capital common shares remaining from the allocation to directors, executives and/or employees of the Company and subsidiaries, the remaining number of increased-capital common shares shall be allocated and offered for sale to the public for the first time (Initial Public Offering).
Siginificant Event
The Company has increased the registered capital of Symat Label Co., Ltd. (SL) by 115,000,000 Baht,
totaling 11,500,000 shares with a par value of 10 Baht per share. This brings the total registered capital to 149,000,000 Baht. The capital increase is intended to restructure the financial structure within the group.
